Partner Terms (Co-Branding)

These terms apply to businesses that create an account in the partner portal (partners.snapories.com) in order to have their brand appear on Snapories surfaces and to issue their own codes. The provider is Matthias Anderer GmbH (address in the Legal Notice).
§ 1 Who can take part
1.1 The partner programme is aimed exclusively at businesses and organisations — in particular venues, agencies, hotels and hospitality. Consumers within the meaning of § 13 BGB cannot take part.
1.2 An account is created by providing: website, legal entity name, the name guests are to see, and optionally the country. A brand colour and a logo are stored in addition.
1.3 Whoever creates an account warrants that they are authorised to represent the business stated and hold the necessary rights in the logo and the brand.
§ 2 How the contract is concluded
2.1 By creating the account the partner business makes an offer; the contract is concluded when the account is activated. Activation occurs immediately once the checks under § 3 have been passed.
2.2 The contract runs for an indefinite period and may be terminated by either party at any time on 14 days' notice in text form. The right to terminate for cause remains unaffected. Events already booked keep their appearance until the end of the respective event period.
§ 3 Logo, colour and display
3.1 Checks. When a logo and colour are stored, the portal immediately checks: name, file format, resolution, and the contrast of the brand colour. Where a value does not yet meet a requirement, the portal states what to change and the value can be stored again straight away.
3.2 Requirements.

3.3 Where the brand appears. The partner business selects from: join screen, gallery and flyer templates. The display is always additive: the Snapories mark remains in a reduced form. The partner brand does not appear on shared or downloaded images.
3.4 Grant of rights. The partner business grants us a non-exclusive, revocable, geographically unrestricted right to store, technically process and display the logo, name and brand colour on the selected surfaces for the purpose of contractual display. Any use beyond that — in particular for our own advertising — requires separate consent.
3.5 Version binding. We bind the stored files and settings technically to a checksum. A changed file is a new version and passes through the checks again.
3.6 Suspension. We may suspend the display of a brand where there are concrete indications that it infringes third-party rights, breaches the Content Policy or that a warranty under § 1.3 is inaccurate. We inform the partner business without undue delay with reasons and restore the display once the matter is resolved.
§ 4 Codes
4.1 The partner business can create, edit, pause and retire its own codes in the portal. Deletion is possible as long as a code has not been redeemed; thereafter it is retained as a record and can be retired.
4.2 Codes do not encode the level of discount in the character string.
4.3 A code is applied at booking. Retrospective application to a completed booking is not provided for.
4.4 We may suspend a code where it is distributed outside the agreed scope or where there are indications of misuse.
§ 5 No fee
Participation in the partner programme is free of charge for the partner business. Participation carries no remuneration, commission or revenue share; the details of rewards in the referral programme are governed by the Referral Programme Terms.
§ 6 Obligations of the partner business
6.1 The partner business promotes Snapories truthfully and in particular does not create the impression that Snapories is its own product or that a corporate affiliation exists.
6.2 Where the partner business refers to Snapories in the course of trade, it labels commercial recommendations in accordance with competition law requirements.
6.3 Where the partner business recommends Snapories to employees or decision-makers of other businesses, it ensures that this is compatible with their internal rules.
§ 7 Data protection
7.1 We are an independent controller for the processing of the partner business's contact data; the Privacy Policy applies.
7.2 The partner business receives no access to guest data or to event images. Only aggregated information about its own codes is transmitted.
§ 8 Liability
§ 13 of the Terms applies accordingly. The partner business indemnifies us against third-party claims arising from the stored brand infringing third-party rights or from a warranty under § 1.3 being inaccurate.
§ 9 Changes
We may amend these terms on six weeks' notice in text form. If the partner business does not object before the effective date, the changes are deemed accepted; we point out this effect in the announcement.
§ 10 Termination
10.1 After termination we remove the logo, name and brand colour from all surfaces and delete the stored files; codes are retired.
10.2 Records of redemptions already issued are retained for accounting reasons.
§ 11 Final provisions
11.1 German law applies, excluding the CISG. 11.2 The exclusive place of jurisdiction is our registered office. 11.3 Amendments and declarations require text form. 11.4 Binding language version.
Only the German version of these terms is legally binding. Versions in other languages are provided for information purposes only. In the event of any discrepancy, the German version prevails.
